General Terms and Conditions of Rental and Sale — Boîte à musique G.L. inc.
1. Equipment Rental
1.1 Scope of Application
These terms and conditions apply to all equipment rentals from Boîte à musique G.L. inc. (hereinafter "BAM"), whether made in person, by phone, email, or through any of its websites or subdomains.
1.2 Client Obligations
- The client must notify BAM without delay of any change of address, phone number, or employer.
- A non-refundable deposit of 25% of the total amount is required upon signing the contract. Depending on the complexity of the order, BAM may require up to 50%. The remaining balance must be paid in full before the equipment is released.
- Any modification, addition, or change in equipment after the preparation process has begun will be billed separately according to the additional resources required.
- Any unpaid amount shall accrue interest at a rate of 2% per month (24% annually) from the due date.
- The client agrees to return the rented equipment at the end of the contract unless otherwise agreed in writing.
- It is strictly prohibited to lend, sublet, or pledge the rented equipment.
1.3 Responsibility, Insurance, and Damages
- The client is fully responsible for the rented items during the rental period.
- In the event of damage, loss, theft, or destruction, the client agrees to reimburse BAM the replacement value of the equipment.
- The client agrees to ensure the rented items are covered by an insurance policy. In the event of a claim, the insurance payout shall be made directly to BAM.
- Any required repairs will be at the client's expense, regardless of the cause. BAM reserves the right to select the repair service.
1.4 Termination of the Contract
BAM may terminate the contract without notice or refund under the following circumstances:
- Insolvency, bankruptcy, asset assignment, or liquidation of the client
- Court judgment unpaid for more than 15 days
- Saisie ou revSeizure or claim not lifted within 10 daysendication non levée sous 10 jours
- Business closure by the client for 5 or more consecutive business days
- Breach of any clause in the contract
The client may not terminate the contract before its term without written consent from BAM. No previously paid amounts will be refunded.
1.5 Legal Action and Fees
In case of legal action against the client, BAM may claim a 15% administrative fee in addition to legal costs.
BAM is authorized to charge any amount owed to the client’s credit card without prior notice in the event of default.
1.6 Technical Services
Boîte à musique also offers professional technical services upon request, which may include event assistance, equipment preparation, and on-site coordination. These services are billed separately according to prior agreements with the client.
1.7 Delivery of Rented Equipment
BAM provides delivery and pickup of rented equipment upon request, subject to availability.
- Fees are calculated based on distance, volume, and required scheduling.
- The client must ensure site accessibility and be present on-site.
- In the event of obstacles, additional charges may apply.
- Service is available in the Greater Montreal area. For other regions, a specific agreement is required.
- BAM is not responsible for delays caused by circumstances beyond its control.
2. Merchandise Sales (Online and In-store)
2.1 General Provisions
BOÎTE À MUSIQUE G.L. Inc. (hereinafter "BAM") operates the website BOITEAMUSIQUE.CA and its subdomains from its offices in Montréal, Québec, Canada. BAM makes no representation that its websites can be used outside of Canada. All disputes are governed by the laws of Québec and must be brought before the courts of Montréal.
It is prohibited to reproduce or copy any content from the website without written authorization.
2.2 Pricing
Prices displayed online may differ from in-store prices. All prices are before taxes. BAM reserves the right to change prices at any time without notice.
BAM reserves the right to open product packaging for inspection or adjustment, and to refuse any order.
2.3 Payment
Online: Visa, Mastercard, Amex, Paypal
In-store: Visa, Mastercard, Amex, cash
Payment is due immediately unless otherwise agreed. No merchandise will be delivered without full payment.
2.4 Shipping and Delivery (Merchandise Only)
Shipping, customs, brokerage, and delivery charges are the client’s responsibility. Free delivery does not apply to remote regions (Yukon, Nunavut, Labrador, etc.).
BAM uses third-party carriers and assumes no responsibility for their performance. Delivery times may vary depending on the region.
2.5 Warranties
Warranties are provided by manufacturers. BAM may act as an intermediary when possible. Return shipping costs are the client’s responsibility.
2.6 Return Policy
All sales are final. No returns or refunds for consumable products (strings, drumsticks, reeds, etc.).
Authorized returns are subject to inspection and may incur fees. No returns will be accepted after 30 days. Refunds will be issued as store credit or gift certificates.
3. Privacy Policy
Boîte à musique G.L. inc. values client privacy and enforces strict policies on data collection, storage, and usage. No personal data is sold or shared with third parties without consent.
Users may review, modify, or delete their data at any time via their account. BAM uses encryption technologies and cookies to enhance user experience.
4. Governing Law
This contract is governed by the laws of the province of Québec and Canada. It binds the parties, their successors, and legal representatives.
BAM’s failure to exercise a right under this agreement does not constitute a waiver of that right. All rights are cumulative.
If any clause is deemed invalid, the remaining provisions will remain in full force.
Masculine terms include the feminine and plural as the context requires.
All signed copies of this document constitute originals of the same agreement.
